                        "data": "industry. Katerra, I realize, hasn’t made much of "
                    },
                    {
                        "data": "an impact in North Carolina yet. Its first "
                    },
                    {
                        "data": "projects are largely in the western states, "
                    },
                    {
                        "data": "reflecting its California tech/capital orienta- "
                    },
                    {
                        "data": "tion. But its potential impact on the industry "
                    },
                    {
                        "data": "cannot be overstated. While factory-built "
                    },
                    {
                        "data": "construction has been around for decades, "
                    },
                    {
                        "data": "the difference here is the systematization of "
                    },
                    {
                        "data": "design, technology and production effi- "
                    },
                    {
                        "data": "ciency to streamline the process to an in- "
                    },
                    {
                        "data": "credible degree and change the traditional "
                    },
                    {
                        "data": "industry geographical and skills/qualifica- "
                    },
                    {
                        "data": "tions silos. While it is too early to say "
                    },
                    {
                        "data": "Katerra will be to construction like Google "

                        "data": "North Carolina contractors are feeling modestly opti- "
                    },

                        "data": "mistic about their prospects for 2018, but many are "
                    },
                    {
                        "data": "struggling to recruit enough skilled workers, according "
                    },
                    {
                        "data": "to a report from the Associated General Contractors of "
                    },
                    {
                        "data": "America (AGGA). "
                    },
                    {
                        "data": "“Expecting Growth to Continue: The 2018 Construc- "
                    },
                    {
                        "data": "tion Industry Hiring and Business Outlook,” shows that "
                    },
                    {
                        "data": "75 percent of construction firms nationwide plan to ex- "
                    },
                    {
                        "data": "pand their payrolls in 2018, based on the feeling that "
                    },
                    {
                        "data": "economic conditions will remain strong as tax rates and "
                    },
                    {
                        "data": "regulatory burdens fall. "
                    },
                    {
                        "data": "Nationwide, “construction firms appear to be very "
                    },
                    {
                        "data": "optimistic about 2018 as they expect demand for all "
                    },
                    {
                        "data": "types of construction services to continue to expand,” "
                    },
                    {
                        "data": "AGCA CEO Stephen E. Sandherr, the association’s CEO, "
                    },
                    {
                        "data": "said in a statement. “This optimism is likely based on "
                    },
                    {
                        "data": "current economic conditions, an increasingly business- "
                    },
                    {
                        "data": "friendly regulatory environment and expectations that "
                    },
                    {
                        "data": "the Trump administration will boost infrastructure in- "
                    },
                    {
                        "data": "vestments.” The survey indicates that in North Carolina, contrac- "
                    },
                    {
                        "data": "tors overall anticipate a relatively stable business envi- "
                    },
                    {
                        "data": "ronment this year, with 48 percent expecting growth, "
                    },
                    {
                        "data": "eight percent expecting a decline, and 44 percent antici- "
                    },
                    {
                        "data": "pating things will be about the same as the previous "
                    },
                    {
                        "data": "year. The most optimistic sector for growth is power, "
                    },
                    {
                        "data": "while there is an expectation of a decline in the multi- "
                    },
                    {
                        "data": "family residential sector. "
                    },
                    {
                        "data": "Significantly, the majority of contractors anticipate in- "
                    },
                    {
                        "data": "creasing their headcount; with 33 percent expecting to "
                    },
                    {
                        "data": "add one to 10 employees, 22 percent increasing by 11- "
                    },
                    {
                        "data": "25 and 19 percent anticipating increasing headcount by "
                    },
                    {
                        "data": "more than 25. "
                    },
                    {
                        "data": "The majority of contractors (74 percent) say they are "
                    },
                    {
                        "data": "having a hard time filling both salaried and craft worker "
                    },
                    {
                        "data": "positions, while 74 percent expect the trend to continue "
                    },
                    {
                        "data": "through the year. "
                    },
                    {
                        "data": "The report shows that 63 percent of the construction "
                    },
                    {
                        "data": "firms that were polled increased their base pay in 2017 "
                    },

                        "data": "to help recruit and retain workers, while 33 percent in- "

                        "data": "“Modular construction” no longer evokes only mem- "
                    },
                    {
                        "data": "ories of those boxy “temporary” classrooms used by "
                    },
                    {
                        "data": "over capacity public school systems. Modular is but "
                    },
                    {
                        "data": "one of three terms commonly used to describe the "
                    },
                    {
                        "data": "construction of building components not built on site. "
                    },
                    {
                        "data": "“Offsite,” “prefabricated,” and “modular” are often "
                    },
                    {
                        "data": "used interchangeably. "
                    },
                    {
                        "data": "Modular construction is increasingly a part of new "
                    },
                    {
                        "data": "construction. The construction industry’s use of offsite "
                    },
                    {
                        "data": "construction is not new; it has been part of the indus- "
                    },
                    {
                        "data": "try for many years. For example, window and door as- "
                    },
                    {
                        "data": "semblies are prefabricated building components that "
                    },
                    {
                        "data": "have long been a part of the industry. "
                    },
                    {
                        "data": "What has changed is a broader use and greater ac- "
                    },
                    {
                        "data": "ceptance of offsite construction as a construction "
                    },
                    {
                        "data": "process. Increasingly, we are seeing a greater use of "
                    },
                    {
                        "data": "larger, more complex components built offsite such as "
                    },
                    {
                        "data": "MEP (mechanical, electrical and plumbing) compo- "
                    },
                    {
                        "data": "nents that are delivered to the project site already "
                    },
                    {
                        "data": "wired and fitted with ductwork and piping. Offsite con- "
                    },
                    {
                        "data": "struction runs the gamut from a window assembly to "
                    },
                    {
                        "data": "the construction of a complete room such as a "
                    },
                    {
                        "data": "dormitory room or a hotel bathroom. "
                    },
                    {
                        "data": "Last fall, developers in Winston-Salem an- "
                    },
                    {
                        "data": "nounced they would be erecting a Hyatt Place "
                    },
                    {
                        "data": "hotel using a modular stacked method. Devel- "
                    },
                    {
                        "data": "opers of this six-story, 56,000 sq. ft. hotel stated "
                    },
                    {
                        "data": "that use of modular construction would reduce "
                    },
                    {
                        "data": "construction time from 15 to seven months. "
                    },
                    {
                        "data": "Similarly, Marriott hotels recently announced "
                    },
                    {
                        "data": "that it plans to use some form of modular con- "
                    },
                    {
                        "data": "struction on 13 percent of its new hotels. Its "
                    },
                    {
                        "data": "use of modular construction will include prefab- "
                    },
                    {
                        "data": "ricated bathrooms and complete modular gue- "
                    },
                    {
                        "data": "strooms. Industry experts point to the labor shortage "
                    },
                    {
                        "data": "the industry has faced in recent years as a sig- "
                    },
                    {
                        "data": "nificant factor driving the greater use of offsite "
                    },
                    {
                        "data": "construction. Industry econo- "
                    },
                    {
                        "data": "mists report that contractors can "
                    },
                    {
                        "data": "expect to continue to see signifi- "
                    },
                    {
                        "data": "cant labor shortages for years to "
                    },
                    {
                        "data": "come. The use of prefabrication "
                    },
                    {

                        "data": "and modular construction is said to have a direct, "
                    },
                    {
                        "data": "measurable effect of shortening project schedules and, "
                    },
                    {
                        "data": "therefore man hours and costs. "
                    },
                    {
                        "data": "Proponents also note that there is a different type of "
                    },
                    {
                        "data": "“green” attribute to offsite construction. Building a "
                    },
                    {
                        "data": "component in a factory should reduce waste as the "
                    },
                    {
                        "data": "workers perform repetitive tasks in a controlled envi- "
                    },
                    {
                        "data": "ronment. The use of climate-controlled facilities to "
                    },
                    {
                        "data": "build components may also reduce the potential for "
                    },
                    {
                        "data": "high levels of moisture being trapped in new construc- "
                    },
                    {
                        "data": "tion compared with building the same components on "
                    },
                    {
                        "data": "site. Offsite construction is not suitable for all types of "
                    },
                    {
                        "data": "vertical construction. It is best suited for projects with "
                    },
                    {
                        "data": "repetitive and redundant features, such as student "
                    },
                    {
                        "data": "housing, education buildings, hospital rooms, and ho- "
                    },
                    {
                        "data": "tels. Mixed-use and office space is not ideal for offsite "
                    },
                    {
                        "data": "or prefabrication as building occupants will often re- "
                    },
                    {
                        "data": "quire space reconfigurations, which can be problem- "
                    },
                    {
                        "data": "atic with load bearing walls. "
                    },
                    {
                        "data": "This industry is known for its resistance to change. "
                    },
                    {
                        "data": "Construction techniques and practices are slow to "
                    },
                    {
                        "data": "evolve. Certainly, once something is tried and proven "
                    },
                    {
                        "data": "to work, others will follow, copy, and improve. But who "
                    },
                    {
                        "data": "wants to go first? "
                    },
                    {
                        "data": "There is a mistaken belief that taking advan- "
                    },
                    {
                        "data": "tage of modular construction or prefabrication as "
                    },
                    {
                        "data": "a construction tool is an all or nothing proposi- "
                    },
                    {
                        "data": "tion. On the contrary, most projects, except per- "
                    },
                    {
                        "data": "haps for those modular temporary classrooms, "
                    },
                    {
                        "data": "can benefit in many ways from an increased use "
                    },
                    {
                        "data": "of either prefabrication or modular construction "
                    },
                    {
                        "data": "without a sacrifice in the elegance of design or "
                    },
                    {
                        "data": "the quality of construction. "
                    },
                    {

                        "data": "ception is correct, Katerra, a new high-tech start-up "
                    },
                    {
                        "data": "combining technology, design, distribution and modu- "
                    },
                    {
                        "data": "lar (factory) construction will soon reshape the industry "
                    },
                    {
                        "data": "in manners similar to the way Uber tore apart the local "
                    },
                    {
                        "data": "taxi industry and Craigslist decimated local newspa- "
                    },
                    {
                        "data": "pers. “In its own way, I predict this will have as much ef- "
                    },
                    {
                        "data": "fect on residential and commercial new construction,” "
                    },
                    {
                        "data": "writes Mitchell, based in Boulder, CO. “Lack of effi- "
                    },
                    {
                        "data": "ciency will make the way (building products) manufac- "
                    },
                    {
                        "data": "turers do business now irrelevant in new construction. "
                    },
                    {
                        "data": "They may be relegated to competing with each other "
                    },
                    {
                        "data": "in the repair/remodel, big box and smaller high-end "
                    },
                    {
                        "data": "custom construction.” "
                    },
                    {
                        "data": "Of course modular building has been around for "
                    },
                    {
                        "data": "decades, serving several niche markets in North Car- "
                    },
                    {
                        "data": "olina and elsewhere. The difference this time is the in- "
                    },
                    {
                        "data": "tegration on a multinational level between technology, "
                    },
                    {
                        "data": "design, manufacturing and delivery – and massive capi- "
                    },
                    {
                        "data": "tal funding for the new enterprises. "
                    },
                    {
                        "data": "Currently leading the pack, Katerra’s company head- "
                    },
                    {
                        "data": "quarters are the Sand Hill Rd. tech venture capitalist "
                    },
                    {
                        "data": "epicenter in Menlo Park, CA, with a construction office "
                    },
                    {
                        "data": "in Scottsdale, AZ and design office in Seattle. It also is "
                    },
                    {
                        "data": "building a Cross Laminated Timber (CLT) factory in "
                    },

                        "data": "The start-up purportedly has a valuation of about "

                        "data": "lished reports indicate the company is preparing to "
                    },

                    },
                    {
                        "data": "Currently the organization, founded in 2015, has "
                    },

                        "data": "projects underway in California, Oregon, Washington, "
                    },
                    {
                        "data": "Idaho and Nevada, but there is little stopping it from "
                    },

                        "data": "“Katerra is bringing fresh minds and tools to the "

                    },

                        "data": "ciency no longer has to come at the expense of quality "
                    },

                        "data": "or sustainability. Led by a team that combines expert- "

                    },

                        "data": "In his weekly newsletter, Mitchell – who provides "
                    },

                        "data": "marketing consultancy services to a diversity of build- "
                    },
                    {
                        "data": "ing product manufacturers – says the coming construc- "
                    },
                    {
                        "data": "tion technology/manufacturing revolution envisaged by "
                    },
                    {
                        "data": "Katerra will take place when the company approaches "
                    },
                    {
                        "data": "“builders and developers with an offer they can’t re- "
                    },
                    {
                        "data": "fuse – to design and build for them at a lower cost with "
                    },
                    {
                        "data": "higher quality, and to do it faster.” "
                    },
                    {
                        "data": "“What if the builder could eliminate the need for de- "
                    },
                    {
                        "data": "signers, estimators, installation labor, and materials "
                    },
                    {
                        "data": "sourcing,” he writes. “Just like Nike or Apple, builders "
                    },
                    {
                        "data": "will become brands who don’t need to actually make "
                    },
                    {
                        "data": "anything themselves.” "
                    },
                    {
                        "data": "Mitchell suggests the integrated, technology-based "
                    },
                    {
                        "data": "modular construction process will uproot the tradi- "
                    },
                    {
                        "data": "tional new construction market with these changes: "
                    },
                    {

                    },
                    {
                        "data": "products to be delivered to their factories. No more "
                    },
                    {
                        "data": "need for distributors, dealers or contractors; "

                        "data": "• Labor shortages and installation errors will be a "
                    },
                    {
                        "data": "thing of the past; "
                    },
                    {
                        "data": "• The builder will be taken out of the equation when it "
                    },
                    {
                        "data": "comes to product sourcing. There will be no more "
                    },
                    {
                        "data": "rebates. Katerra will want the best bottom line price, "
                    },
                    {
                        "data": "period; and "
                    },
                    {
                        "data": "• Katerra will be able to look at making really big "
                    },
                    {
                        "data": "changes in how homes and buildings are built. Be- "
                    },
                    {
                        "data": "cause of their scale and process, it will be easy for "
                    },
                    {
                        "data": "Katerra to consider big changes like changing to "
                    },
                    {
                        "data": "metal framing in residential construction. "
                    },
                    {
                        "data": "Mitchell predicts Katerra’s industry changes will "
                    },
                    {
                        "data": "happen fast. “And just like the taxi industry, the Na- "
                    },
                    {
                        "data": "tional Association of Home Builders (NAHB) and some "
                    },
                    {
                        "data": "builders may try to push back with legislation that may "
                    },
                    {
                        "data": "slow but won’t stop this change,” he writes. "
                    },
                    {
                        "data": "Writing to building products manufactures, Mitchell "
                    },
                    {
                        "data": "says: “In two to three years, or sooner, you will feel the "
                    },
                    {
                        "data": "effects of this change as your larger builders will no "
                    },
                    {
                        "data": "longer be buying from you. It will also happen to you in "
                    },
                    {
                        "data": "the commercial area.” "

                    },

                        "data": "then, the tax rules – Internal Rev- "
                    },

                        "data": "enue Code amendments, regula- "
                    },
                    {
                        "data": "tions, procedural guidance and "
                    },
                    {
                        "data": "court case law – have morphed into "
                    },
                    {
                        "data": "a complex system for tax paying "
                    },
                    {
                        "data": "contractors. The recently signed bill "
                    },
                    {
                        "data": "is a significant modification to the "
                    },
                    {
                        "data": "existing system and the consensus "
                    },
                    {
                        "data": "is clear. Most businesses expect "
                    },
                    {
                        "data": "their income tax expense to de- "
                    },
                    {
                        "data": "crease, including contractors. "
                    },

                        "data": "Though there are many moving "
                    },

                    },

                        "data": "as a ‘C’ corporation, it was not re- "

                        "data": "pealed for individuals. However, it "
                    },

                        "data": "did provide for increased individual "
                    },
                    {
                        "data": "exemptions. The 2018 exemption "
                    },
                    {
                        "data": "amount was increased from "
                    },
                    {
                        "data": "$86,200 to $109,400 and the phase "
                    },
                    {
                        "data": "out threshold increased from "
                    },
                    {
                        "data": "$164,100 to $1 million for married "
                    },
                    {
                        "data": "filing joint taxpayers. The exemption "
                    },
                    {
                        "data": "amount for single taxpayers in- "
                    },
                    {
                        "data": "creased from $55,400 to $70,300 "
                    },
                    {
                        "data": "and the phase out threshold in- "
                    },
                    {
                        "data": "creased from $123,500 to "
                    },
                    {
                        "data": "$500,000. Contractors, other than ‘C’ cor- "
                    },
                    {
                        "data": "porations, considering making the "
                    },
                    {
                        "data": "switch to a method other than PCM "
                    },
                    {
                        "data": "for 2018, will want to consider the "
                    },
                    {
                        "data": "potential for AMT impacts before "
                    },
                    {
                        "data": "making a final decision. If a contrac- "
                    },
                    {
                        "data": "tor switches to a method other than "
                    },
                    {
                        "data": "PCM for 2018, any contracts en- "
                    },
                    {
                        "data": "tered into before Dec. 31, 2017, "
                    },
                    {
                        "data": "would be taxed under the prior "
                    },
                    {
                        "data": "method of accounting even if the "
                    },
                    {
                        "data": "contract continued into 2018. "
                    },
                    {
                        "data": "25 percent of W-2 wages, plus 2.5 "
                    },

                        "data": "percent of the unadjusted basis of "
                    },
                    {
                        "data": "all qualified property. This deduction "
                    },

                        "data": "applies for tax years beginning after "
                    },

                        "data": "Dec. 31, 2017 and beginning before "
                    },

                        "data": "Jan. 1, 2026. "
                    },
                    {
                        "data": "4. Standard deduction, "
                    },
                    {
                        "data": "charitable contributions "
                    },
                    {
                        "data": "and the Pease Limitation "
                    },
                    {
                        "data": "Personal exemptions are re- "
                    },
                    {
                        "data": "moved in the bill in favor of a higher "
                    },
                    {
                        "data": "standard deduction effective for tax "
                    },
                    {
                        "data": "years beginning after Dec. 31, 2017 "
                    },
                    {
                        "data": "and beginning before Jan. 1, 2026. "
                    },
                    {
                        "data": "The new standard deduction "
                    },
                    {
                        "data": "amounts will be $24,000 for married "
                    },
                    {
                        "data": "filing joint or surviving spouse, "
                    },
                    {
                        "data": "$18,000 for an unmarried individual "
                    },
                    {
                        "data": "with at least one qualifying child, "
                    },
                    {
                        "data": "and $12,000 for single filers. "
                    },

                        "data": "Charitable contributions – which, "
                    },
                    {
                        "data": "under old law, were limited to 50 "
                    },
                    {
                        "data": "percent of a taxpayer’s AGI – will "
                    },

                        "data": "now be limited to 60 percent of AGI "

                        "data": "effective for tax years beginning "

                        "data": "after Dec. 31, 2017 and beginning "

                        "data": "before Jan. 1, 2026. The bill will "

                        "data": "also repeal the current 80 percent "

                        "data": "deduction for certain contributions "
                    },

                        "data": "to universities made in connection "
                    },

                        "data": "with athletic seating rights. "
                    },

                        "data": "The overall limitation on itemized "
                    },
                    {
                        "data": "deductions referred to as the Pease "
                    },

                        "data": "Limitation will be suspended for tax "
                    },

                        "data": "years beginning after Dec. 31, 2017 "

                        "data": "ning after Dec. 31, 2017. Any "
                    },

                        "data": "amount paid in a taxable year begin- "
                    },

                        "data": "ning before Jan. 1, 2018 shall be "
                    },
                    {
                        "data": "treated as being paid on the last day "
                    },
                    {
                        "data": "of the tax year for which the tax ap- "
                    },
                    {
                        "data": "plies. The bill includes a provision that "
                    },
                    {
                        "data": "allows for 100 percent expensing "
                    },
                    {
                        "data": "through bonus depreciation of cer- "
                    },
                    {
                        "data": "tain business assets placed in serv- "
                    },
                    {
                        "data": "ice after Sept. 27, 2017 through "
                    },
                    {
                        "data": "Dec. 31, 2022. The amount of "
                    },
                    {
                        "data": "bonus depreciation allowed is then "
                    },
                    {
                        "data": "phased-down over four years as fol- "
                    },
                    {
                        "data": "lows starting: 80 percent in 2023, "
                    },
                    {
                        "data": "60 percent in 2024, 40 percent in "
                    },
                    {
                        "data": "2025, and 20 percent in 2026. The "
                    },
                    {
                        "data": "requirement that the property be "
                    },
                    {
                        "data": "new was also removed and re- "
                    },
                    {
                        "data": "placed with a requirement that the "
                    },
                    {
                        "data": "property simply be new to the tax- "
                    },
                    {
                        "data": "payer – an impactful distinction. "
                    },
                    {
                        "data": "The bill includes some additional "
                    },
                    {
                        "data": "changes that have the potential to "
                    },
                    {
                        "data": "benefit many contractors. For exam- "
                    },
                    {
                        "data": "ple, Section 179 expensing limits "
                    },
                    {
                        "data": "will be increased to $1 million with "
                    },
                    {
                        "data": "the phase-out threshold being in- "
                    },
                    {
                        "data": "creased to $2.5 million with both "
                    },
                    {
                        "data": "thresholds subject to inflation in- "
                    },
                    {
                        "data": "creases for tax years beginning "
                    },
                    {
                        "data": "after Dec. 31, 2017. Furthermore, "
                    },
                    {
                        "data": "the definition of qualified property is "
                    },
                    {
                        "data": "expanded to include improvements "
                    },
                    {
                        "data": "to non-residential real property in- "
                    },
                    {
                        "data": "cluding roofs, heating, ventilation, "
                    },

                    },

                    },

                    },

                        "data": "renovation in the U.S. to claim a deduction of up to nine "
                    },

                        "data": "9. Like-kind exchanges "
                    },

                        "data": "Under the new law, like-kind exchanges are limited to "
                    },

                        "data": "only exchanges involving real property that is not prima- "
                    },

                        "data": "rily held for sale. This new limitation applies to ex- "
                    },

                        "data": "changes completed after Dec. 31, 2017; however, a "
                    },

                        "data": "transition rule allows like-kind exchange treatment for "
                    },

                    },

                        "data": "who have typically exchanged equipment and machinery "
                    },

                        "data": "in the past. "
                    },
                    {
                        "data": "10. Estate and gift taxes and "
                    },
                    {
                        "data": "generation-skipping transfer tax "
                    },
                    {
                        "data": "The law doubles the base estate and gift tax unified "
                    },
                    {
                        "data": "credit exclusion to $10 million, effective for decedents "
                    },
                    {
                        "data": "dying and gifts made after 2017 and before 2026. The bill "
                    },
                    {
                        "data": "also increases the GST exemption to $10 million. This ef- "
                    },
                    {
                        "data": "fectively increases the inflation-adjusted exclusion and "
                    },

                        "data": "exemption amounts to $11.2 million ($22.4 million for a "
                    },
